Transwarranty Financ - Disclosure of material issue

This is to intimate you that, based on the recommendation of the Nomination, Remuneration and Compensation Committee, the Board of Directors of the Company accorded their approval on December 31, 2025 for the allotment of 6,00,289 (Six Lakh Two Hundred Eighty Nine only) equity shares at a face value of Rs. 10/- each to the eligible employees of the Company in accordance with the terms of Transwarranty Employee Stock Option Plan- 2019 .
