Mangalore Chem. - Board Meeting Outcome for Composite Scheme Of Arrangement By And Amongst Mangalore Chemicals & Fertilizers

composite scheme of arrangement by and amongst Mangalore Chemicals & Fertilizers Limited ('Transferor Company' or 'Company'), Paradeep Phosphates Limited ('Transferee Company') and their respective shareholders and creditors ('Scheme'), we hereby inform you that today, 16th October 2025, is the 'Effective Date 2' for giving effect to Part II of the Scheme which deals with the amalgamation of the Transferor Company with and into the Transferee Company with effect from the 'Appointed Date 2' (as defined under the Scheme), i.e., 01st April 2024, and other parts of the Scheme (other than Part III of the Scheme, which came into effect on October 13, 2025). \r\nAccordingly, as of today, i.e., Effective Date 2 (as defined in the Scheme) the Transferor Company has merged with and into the Transferee Company in accordance with Part II of the Scheme and the Transferor Company stands dissolved without being wound up, without any further act or deed.
